  • Your violation of any third-party right, including without limitation any intellectual property, privacy, or proprietary right.

7. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the applicable federal laws of Canada, without giving effect to any choice or conflict of law provision or rule. You agree that any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in Toronto, Ontario, and you hereby consent to the personal jurisdiction and venue therein.

8. Changes to Terms

We reserve the right, at our sole discretion, to update, modify, or replace these Terms at any time. If a revision is deemed material, we will endeavor to provide at least 30 days' prior notice before any new terms take effect. What constitutes a "material change" will be determined at our sole discretion. By continuing to access or use our Services after those revisions become effective, you explicitly agree to be bound by the revised Terms.
